STANDARD TERMS AND CONDITIONS OF SALE: ADVANCE ORDERS

1. General Prevalence The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing by Cantata Communication Solutions SAS.

2. Advance Payment Requirement As this is an advance order, the total amount of the invoice is payable in full at the time of the order. Production or provision of services will only commence once the funds have been cleared. Cantata Communication Solutions SAS reserves the right to cancel or suspend the order without prior warning if the advance payment is not received.

3. Taxes and Withholding The amount of the invoice is due to Cantata Communication Solutions SAS in its entirety. Any withholding tax at source required by the client's local legislation shall be paid by the client to their respective tax authorities. Cantata Communication Solutions SAS shall not be liable for costs related to the client's local tax legislation. The final invoice does not include any costs relating to the legislation of the country in which the client is located.

4. Liability and Obligations Cantata Communication Solutions SAS undertakes to do its best to supply performant services in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results (obligation of means). Cantata Communication Solutions SAS cannot, under any circumstances, be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.

5. Claims and Admissibility To be admissible, any claim regarding the delivered goods or services must be notified to Cantata Communication Solutions SAS by means of a letter sent by recorded delivery to its registered officer email on bonjour@cantatacs.com within 8 days of the delivery or the provision of the services.

6. Governing Law All contractual relations between the parties will be governed exclusively by French Law.
